ABOUT PRUE WARNER

Through my experience as in-house senior corporate lawyer for Australia Pacific LNG and Origin Energy, I have a practical point of view and hands-on experience with the day to day legal needs of companies. My background as a Senior Associate in Clayton Utz’s Corporate - Energy and Resources team, has provided me with a strong foundation in assisting resource industry clients with all the legal needs for their projects including: start up, operations and sales and acquisitions. In my role as in-house counsel, I assist the business by- negotiating and drafting commodity sales and transportation agreements- advising on strategic joint venture issues- advising on corporations law issues- performing contract corporate governance; and- managing enquiries from government bodies.At Clayton Utz, I assisted clients, including major petroleum and mining companies, with their legal needs for Energy & Resources project development and asset and share sales. Project Development: I assisted project proponents to develop petroleum and mining projects, which includes initial start-up, ongoing advice work during project operation and project finalisation in the following specialisations- land access- tenements- joint venture negotiations; and- native title & Aboriginal / cultural heritage.Asset and Share Sales: I have been involved in the sale and purchase of major resources projects including: LNG infrastructure, mining projects and electricity assets. This has included- Conducting due diligence (advising on key risks and appropriate risk mitigation strategies); and- Drafting transaction documents including: Sale and Purchase Agreements, Operating Agreements, Marketing Agreements, Joint Venture Agreements and Commodity Sales Agreements.
