Duties: • Manage a two-person team, overseeing the areas of M&A, intellectual property, generative artificial intelligence, open source, marketing compliance, risk, securities law, corporate governance, anti-corruption/anti-bribery compliance, trade compliance, and ESG. • Counsel and communicate directly with the C-suite and board of directors. • Serve as an escalation point for junior attorneys regarding complex contracting and compliance issues. • Review, draft, and negotiate various commercial agreements, including licensing, customer, partnership, development, and vendor agreements. • Partner directly with sales, product, and engineering leaders on sales initiatives, product development, and intellectual property creation. • Report directly to the company’s General Counsel and Secretary. • Manage outside counsel spend and set legal budgets. • Draft and review SEC filings, including registration statements, Forms 10-K, 10-Q, and 8-K, as well as proxy statements, and section 16 reports. • Work on all corporate secretary-related matters, including attending board meetings and reviewing board materials. • Chair the Company’s environmental, social, and governance committee. • Advise on investor relations matters, including navigating proxy advisory firm issues and reviewing investor materials.
