Lead the firm’s 20+ person U.S. mergers and acquisitions clearance team with respect to Hart-Scott-Rodino (HSR) analysis and filings. The HSR team reviews publically available information and coordinates with our corporate team to draft tailored requests on behalf of the client. We review client information, including potential Transaction Related Documents (f/k/a 4c/4d documents), and then work with the client and opposing HSR counsel to prepare the filing to ensure it is in compliance with the rules and regulations. •Work with the firm’s corporate and restructuring departments and clients to determine whether a transaction is HSR-reportable; conduct competitive antitrust analysis including product market definition, market power, and barriers to entry, along with financial analysis including valuation, ownership, and control•Analyze multi-jurisdictional competition filings using turnover, asset, and market share thresholds on cross-border M&A transactions•Author and deliver internal and external client-facing presentations regarding current best practices and new developments in the antitrust clearance process•Experience with complex corporate transactions, including acquisitions and dispositions of assets, voting securities, LLC/LP/GP membership interests, joint ventures, mergers, minority investments, secondaries, spin-offs, tender offers and bankruptcy/restructuring transactions•Maintain strong business relationships with chief officers of Fortune 500 companies, private equity firms and government staff

Kurt Wunderlich leads the Kirkland & Ellis LLP U.S. Mergers and Acquisitions Clearance team with respect to Hart-Scott-Rodino Act (HSR) analysis and filings. He has worked on matters across a wide range of industries, including healthcare, pharmaceuticals, industrials, chemicals, energy, food and beverage, retail, media, telecom, software, financial services, and hospitality.
