ABOUT J. R. FLATTER

I serve at the intersection of corporate governance, AI oversight, and leadership judgment.Directors today face a new category of oversight challenge.Artificial intelligence is becoming both a strategic asset and a systemic risk.My focus is board oversight. AI is changing how organizations make decisions, manage risk, and create value. That shift places new expectations on boards. Directors must oversee not only financial performance but also the systems that shape decisions across the enterprise.I focus on governance structures that support strong oversight. This includes director judgment, accountability systems, and the responsibilities reflected in Delaware-style governance and Caremark doctrine. AI is moving into the category of mission-critical risk for many organizations. Boards must understand both its strategic potential and its systemic risk.I also work as an executive leadership coach. Strong governance systems depend on leaders who think clearly, ask better questions, and maintain disciplined dialogue inside leadership teams and boardrooms. Technology does not replace judgment. It increases the need for it.My background includes more than two decades building and leading Flatter, Inc, where I served as Chairman and CEO. Before that I served 22.5 years as a United States Marine officer. Those experiences shaped how I think about leadership, accountability, and institutional resilience.I hold a Ph.D. in Executive Leadership Development and am an ICF Professional Certified Coach. I am also a graduate of the INSEAD International Directors Program.I am particularly interested in independent board service where governance, strategy, AI oversight, and leadership judgment intersect.
