I am in-house counsel for a Fortune 500 energy distribution company with a portfolio of approximately c-store and gas supply locations. My role includes advising our Sales, Marketing, Strategy, and Credit teams. I advise the Sales team on full-cycle sales process from deal approvals, contract interpretation, compliance, and terminations. In that capacity, I draft and negotiate sales agreements for single site locations; and execute default and franchisee termination notices. I independently lead business assets acquisitions and franchisee assignments for single site locations by drafting and negotiating asset purchase agreements, assignment agreements, and financing documents.I also advise the Marketing team on FTC compliance of its retail sales promotions and charitable initiatives, including drafting sponsorship agreements, promotional materials, and sweepstakes terms and conditions.I lead the collections effort of delinquent accounts; draft and review vendor agreements; develop a clause library, contract templates, and playbooks; and oversee legal support staff on an as needed basis.
