I am a Nashville-based business lawyer. My practice spans commercial real estate, mergers and acquisitions, and general outside counsel work. I have been recognized by Best Lawyers as a \"One to Watch\" in Banking and Finance Law, Corporate Law, Real Estate Law, Mergers and Acquisitions Law, and Commercial Litigation. As a real estate attorney, I have represented buyers and sellers of commercial property on transactions as large as including industrial, office, and multi-family properties and new developments. I also regularly represent landlords and tenants on commercial leases in office, retail, and industrial segments. As a commercial attorney, I work with Nashville-based lenders on construction loans, permanent financing and refinancing, business loans, and acquisition financing. Example representation includes representing a purchaser in permanent financing for a office building, representing a lender as local counsel for a industrial portfolio loan, and regularly representing lenders for real property loans between $2M -$15M. As a mergers and acquisitions and corporate attorney, I represent buyers and sellers in private M&A transactions and joint ventures-particularly in transactions that have a real estate component. Example representation includes representing developers on joint venture agreements in mixed-used developments, restaurant ventures, and industrial projects as well as representing buyers and sellers in M&A transactions ranging from sub-$1M to I have helped clients buy and sell a broad range of companies including manufacturers, distributors, service providers, e-commerce companies, food distributors, and contractors. I also regularly serve as general outside counsel for small business owners in entity formation, software licensing agreements, incentive compensation plans, and non-disclosure agreements. In this regard, I currently represent e-commerce distributors, software companies, contractors, and consultants. After law school, I clerked for the Honorable Vice Chancellor Joseph R. Slights on the Delaware Court of Chancery, where I gained experience working on some of the largest corporate disputes in the world. Before attending law school, I was the Director of Strategy at atlasRFIDstore.com, an eCommerce company in Birmingham, Alabama. I am a 2019 graduate of Vanderbilt Law School. While there, I served on the Vanderbilt Law Review, Graduated Order of the Coif, and maintained the highest GPA in my law school class through two years of law school.
