I focus on corporate and employment law issues, incl. restructurings, corporate governance issues, M&A, JVs, employee incentive plans. Recent experience includes:Restructuring projects:• restructuring of a major Russian retail group (development of a step plan and implementing the restructuring in Russia and 4 foreign jurisdictions);• restructuring of a major Russian group of companies – producers of food products (development of the restructuring scheme, pre-restructuring dd, implementation in Cyprus, BVI and Russia).Corporate governance projects:• restructuring of the corporate governance system and transfer of powers of the sole executive body to management company of a passenger port in the Baltic region;• consulting a Russian consumer electronic retailer on issues of D&O liability.M&A and JV projects:• acquisition by a Spanish group of companies of a Russian manufacturer of instant food products (due diligence, transaction structuring, drafting SPA);• acquisition of a foreign company-ower of a timber production plant in Russia (due diligence and drafting MOU);• joint venture of a Japanese investor and a Russian bank (JV structuring, drafting the JV agreement);• legal due diligence of a number of companies in various industries, including management of multijurisdictional due diligences (including more than 10 jurisdictions).Long term incentive programs: • development of LTIP for: 1) an internet retail company (phantom option, foreign law), 2) an oil and gas exploration and production company (restricted shares, foreign law), 3) a major real estate company (share option and bonuses, foreign trust).Other projects:• Legal function efficiency: assessment of functionality and adequacy of number and remuneration of staff employed by the legal department of the head office and selected subsidiaries and branches of a major Russian company;• Lawmaking: drafted concepts of legislation developments and draft laws in various areas.
