Provide counsel for all agency-related matters including structuring entities appropriately (high-growth tech startup in media/social-tech) and navigating Talent Agency Act requirements and FTC compliance, mitigating agency’s liability in client-related matters, and general relations with talent and influencers. Work with founding team on developing innovative solutions for compliance and legal acuity within the ad-tech, entertainment, and creator/influencer campaigns. Structure, draft, and negotiate to completion agreements for social media creators, celebrity endorsements, content licenses, talent services, artistic/design services, product placements, events, sponsorships, marketing agreements relating to digital ad/media buys, insertion orders, naming rights, licensing and co-marketing deals. Consult agency clients and brands on how to mitigate legal hazards with intellectual property rights, SAG-AFTRA, user-generated content, music clearance, and permission terms. Educate C-Suite and partners in business legal and compliance to reduce liabilities
