ABOUT VANESSA TOLLIS

Vanessa Tollis is the Head of Gide\'s U.S. Tax Practice and Co-Head of the New York Office. Vanessa specializes in the U.S. tax aspects of cross border transactions (inbound and outbound), Ms. Tollis advises: lenders and borrowers on structured finance transactions; participants and sponsors in the global capital markets on securities offerings, including IPOs, privatizations, securitizations, and high yield transactions, both publicly offered and privately placed; funds and their investors on cross border fund structures and investments; European companies on U.S. executive and employee equity compensation; and high net worth individuals on compliance and disclosure concerns. In addition, she advises U.S. and foreign clients on tax planning for starting or expanding operations abroad or in the U.S. market.With more than 20 years of experience, she has significant expertise advising clients on a broad range of key U.S. international tax matters, including: U.S. tax treaty eligibility, portfolio interest exemption and withholding tax; tax aspects of U.S. real estate investment; debt/equity characterization; U.S. trade or business thresholds; entity classification; passive foreign investment companies; controlled foreign corporations; cross-border IP transfers; and cross-border equity compensation. She also has considerable experience in related non-tax transactional work, including U.S. general corporate and secured transactions. Vanessa was appointed in September 2024 as Co-Chair of the New York City Bar\'s Taxation of Business Entities Committee for a three year term. She has been selected by her peers for the 2025 edition (and the 2024 edition) of The Best Lawyers in America® for Tax Law. Vanessa was delighted at the recent invitation from Dr. Zach Pouga (Adjunct Professor of Law) to be a Guest Lecturer at New York University School of Law. On February 5, 2025 she taught a two hour seminar entitled International Tax Policy – Initial Tenets of International Tax Policy attended by LLM and JD students enrolled in the course.
