As a Legal Associate I\'m responsible for handling critical documentation for OTC derivatives transactions, including drafting, reviewing, and negotiating Non-Disclosure Agreements (NDAs), ISDA Master Agreements, MSFTA, GMRA, GMSLA, Regulatory Initial Margin documentation across EMEA and US jurisdictions for various counterparty types. My role involves conducting due diligence and risk analysis on clients to verify their capacity and authority to enter into these agreements, while serving as the main liaison between clients, internal business units, risk management, and key stakeholders (Operations, Trading Desks, Credit Risk, Tax) to facilitate prompt sign-offs and negotiate favourable terms efficiently. I review external legal opinions to ensure regulatory compliance and advise on improvements to local legal practices, contributing to the development of new laws and amendments. I also support the Onboarding and Delivery Team by negotiating contractual terms with vendors for Master Service Agreements (MSAs), Statements of Work (SOWs) and Change Requests, ensuring alignment with customer requirements. Additionally, I maintain an organized documentation database, project trackers reflecting live negotiation statuses, and provide ad hoc management support by updating internal repositories and systems for negotiated documents. I handle post-negotiation processes, including arranging execution by authorized signatories and filing executed agreements in the internal IT system (e.g, DocPoint). This hands-on experience covers the full contract lifecycle, from pre-sales activities to post-sales management, ensuring strong governance and compliance throughout.
