Provide legal advice, opinions, and strategies to company management, commercial, and business development teams, and other stake holders for day-to-day company operations, commercial, regulatory, and business development in the midstream industry (including areas such as regulatory, environmental, corporate organization, commercial, operations, engineering and construction services, acquisitions and divestitures, and litigation) for the parent company and its multiple subsidiaries operating in several states (Oklahoma, Kansas, Texas, Wyoming, Pennsylvania, West Virginia, Ohio, Louisiana, and several other states in the NW United States). Negotiate, draft, and advise on midstream operational, commercial, and business development transaction related agreements including: gathering, processing, fractionation, storage, rail and truck loading and unloading, interconnect, balancing, gas/condensate/oil purchase contracts, construction and operation, encroachment, and various real property conveyance agreements.In-house lead for M&A transactions including various joint venture structured deals and continued administration and management of the joint venture formations. Manage outside counsel on large corporate transactions, pre-litigation disputes and litigation matters.Present and train clients on best practices on various topics such as contract and antitrust law.Coordinate internal and external resources during due diligence and closing periods for various midstream transactions and company activities, due diligence, acquisitions, and divestitures.Direct and manage legal and internal stake holder group review of commercial and real property template forms.Review non-standard right-of-way and other real property related agreements for seven major play areas (in as many as 8 states).
