Select Accomplishments: • Recovered $1M+ in at-risk proceeds by reclassifying mischaracterized payments that would have been forfeited in a post-closing adjustment. • Negotiated a 3-year health insurance sunset provision for a key employee, preserving essential coverage post-sale in a buyer-favorable transaction. • Identified and restructured a flawed indemnification mechanism to eliminate a double-digit discount on equity clawbacks—preserving rollover value and securing the seller’s right to choose between cash or equity offset. • Shielded clients from uncapped legacy liabilities (including 401(k) plan termination risk and potential contractor misclassification) in an equity sale structure. • Consistently advocate for retained benefits and exit protections, such as continuation of executive benefits, reimbursements, health coverage, and fair rollover equity—especially in Private Equity-driven deals where those terms are often discounted.
