ABOUT TOM MARGESSON

I am a tax lawyer that specialises in advising private capital managers and their portfolio investments. I advise on all aspects of fund formation (both private and listed funds), with particular specialism in private equity, venture and credit strategies. I advise private capital managers on their day-to-day \'house\' tax issues, as well as the remuneration of private capital professionals, including the structuring of carried interest and co-investment arrangements. I also regularly advise on early stage tax disputes affecting asset managers. I advise private capital managers on structuring their investment transactions on acquisition and exit, as well as the tax issues arising during the life cycle of portfolio investments. This includes public and private M&A, restructurings and reorganisations, management incentive arrangements and IPOs. I also advise private capital managers on the full suite of alternative liquidity solutions, including LP and GP led secondaries. My clients include the full spectrum of asset managers from global multi-strategy houses to UK based start-up teams. I spent six months on secondment in the international tax team at Apollo Global Management. Most of my work has an international element. I am a member of the department\'s Global Mobility Working Group, Sustainability Working Group and Base Erosion and Profit Shifting Working Group. I regularly speak and write about tax, including contributing to UK and European tax authority consultations.
