Assisting in preparation of materials for the Board of Directors and committee meetings, including drafting basic corporate governance documents such as agendas, resolutions and minutes, notices of meetings, director biographies, etc. Coordinating Board meeting logistics, including physical and technical set-up of materials and rooms for Board and committee meetings. Administering third-party electronic portal to distribute meeting and other materials for the Board of Directors. Developing and maintaining mastery of the system and handling uploading of materials, scheduling internal training, maintaining internal procedures document, liaising with IT on security and other issues. Assisting in annual meeting preparation, including coordination of activities of Broadridge and other vendors to ensure timely distribution of Company proxy materials to shareholders. Assisting with federal securities law matters, including timely preparation and review (including SEC compliance review) of quarterly, annual and other securities filings (10-Q, 10-K, proxy statement, etc.); coordinating backup documentation; and supporting management’s disclosure committee. Assisting with preparation and filing of annual certifications and other reports with the NYSE. Coordinating communications with transfer agent and, if appropriate, third-party stock plan administrators. Also working with proxy solicitor and registered shareholders. Performing other miscellaneous functions of a paralegal as assigned, including drafting, review and administration of certain contracts.
