I help clients understand pensions and HR issues in corporate transactions, both domestically and internationally.Pre deal, this typically involves due diligence for the Buyer, Vendor due diligence or helping a company prepare for sale. I also help clients ensure that value is delivered post deal, looking at issues such as establishing benefit arrangements, UK pension issues (Trustee negotiations, Section 75, asset/liability transfers, employer covenant and the Pensions Regulator), TUPE/ARD consultation requirements and retention/incentive arrangements.
