   American Gilsonite Company (\"AGC\") operates as an industrial minerals company and is the world\'s primary miner and processor of uintaite, a variety of asphaltite, a specialty hydrocarbon which is primarily used in the oil and gas market but also in inks and paint, foundry, and asphalt. AGC\'s mining operations are in Bonanza, Utah and is a privately held company managed by a Board of Directors comprised of hedge fund and private equity owners. • Managed the Company through a prepackaged chapter 11 bankruptcy, converting $270MM of Sec 144(a) bonds to $100MM of PIK debt and 98% equity in the Company, completing the process in 68 days. • Revised the organizational structure to avoid $60MM of corporate taxation that would have resulted from cancellation of debt income. • Revalued the balance sheet based on Fresh Start rules and successfully dealt with complex accounting issues, preserving equity value, and avoiding recognition of an uncertain tax position. • Managed the capital structure to preserve liquidity entering chapter 11, enabling restructuring negotiations, and providing for a swift exit from bankruptcy. • Via mediation with plaintiff and insurers, settled tortuous interference and antitrust claims against the Company. • Assessed and improved processes and re-allocated resources in preparation for IPO readiness evaluation and implementation of automated financial reporting and operations systems. • Undertaking improvements to the capital structure to facilitate the eventual exit of hedge fund and private equity ownership.
