ABOUT STEPHEN BROWN-OKRUHLIK

Stephen is a Partner in McMillan LLP’s Litigation Group. He specializes in complex commercial disputes, with a focus on corporate stakeholder and financial services litigation. He appears regularly before the Commercial List of the Ontario Superior Court of Justice in Toronto and routinely helps clients navigate contentious M&A and financing transactions. Stephen has acted for clients on precedent setting corporate law cases. He has also acted in significant recent Canadian and cross-border insolvency proceedings, including Re Nortel Networks Ltd, Re Sears Canada Inc. and Re Green Growth Brands Inc. He regularly acts for creditors, debtors, DIP lenders and court officers. Stephen also appeared before the Ontario Securities Commission in the precedent setting case Re Aurora Cannabis regarding the use of shareholder rights plans (poison pills). He has also helped guide boards and special committees through proxy contests. Stephen is active within the legal community and especially Toronto\'s commercial bar. He is a thought leader on various commercial litigation topics, including \'busted deal\' litigation and creditor-on-creditor violence. Stephen is a member of the American Bar Association\'s Commercial & Business Litigation Committee and is Co-Chair of the M&A Litigation Subcommittee. He is also a former executive member of the Ontario Bar Association’s Insolvency Section. He writes frequently about topics related to restructuring as well as corporate, securities and financial services litigation. Stephen leads McMillan\'s business development efforts in Brazil. Stephen has been recognized by Best Lawyers as \'One to Watch\'.
