Spencer T. Moats is a partner and business lawyer with Foley & Lardner LLP. Mr. Moats practices general corporate and business law, with an emphasis in mergers & acquisitions, private equity, securities law, corporate governance, and counseling start-up and early stage companies. Mr. Moats represents both public and private acquirers and targets in domestic and international mergers & acquisitions transactions. Mr. Moats’ mergers & acquisitions experience includes representation of strategic, private equity and venture capital clients in a wide array of industries, including manufacturing, energy and healthcare. Mr. Moats\' private equity and venture capital clients include Ara Partners, Dara Knot Capital Partners, Dhanani Private Equity Group, Generation Growth Capital, GHK Capital, Junction Energy Capital, LOUD Capital, Mill Rock Capital, Northern Lakes Capital, Sky Island Capital and Stratiq Capital. Mr. Moats also has significant experience assisting family-owned and other closely-held businesses transition ownership to the next generation, a third-party acquirer or an Employee Stock Ownership Plan (ESOP). Mr. Moats regularly advises clients regarding state and federal securities law compliance, and assists clients with the preparation and review of Securities Exchange Act filings. Mr. Moats also represents issuers in securities transactions, including public offerings of equity securities and public placements of debt securities. Mr. Moats’ securities law and corporate governance experience also includes counseling clients in connection with takeover defense, defending hostile takeover attempts and proxy contests.Mr. Moats’ general corporate and business law experience is broad-based, including company formation, capital raising, equity holder agreements, employee and consulting agreements, commercial arrangements, strategic planning, sale preparation and company sale.
