About Shekida A. Smith-Sandy
Anna Smith-Sandy maintains an interdisciplinary practice, advising clients on regulatory issues under federal and state securities, derivatives, and banking laws. Anna generally counsels fund sponsors on addressing regulatory compliance issues related to securities laws, with particular focus on the Investment Advisers Act and Investment Company Act, and also has experience advising on fintech and digital asset regulation. She also regularly provides guidance to financial institutions including private and registered funds and investment advisers on the application of the Securities Act, Investment Company Act, and Investment Advisers Act to varying regulatory and corporate matters. Such guidance includes, without limitation, questions pertaining to federal and state registration requirements, Advisers Act compliance obligations, and preparing for U.S. Securities and Exchange Commission (SEC) examinations. Anna has significant fund documentation experience, including drafting and negotiating documentation regarding the formation and launch of venture capital, hedge funds, funds of funds, co-investment programs, and separately managed accounts focused on investment strategies ranging from traditional venture capital to token and cryptocurrency ventures. In her prior roles, Anna has extensively negotiated over-the-counter (OTC) and cleared derivatives transactions, which include International Swaps and Derivatives Association (ISDA) Master Agreements. She also advises clients in various industry sectors on commodity law issues, as well as emerging U.S. derivatives laws, Dodd-Frank Act regulations, and EU derivatives laws and compliance options, including adherence to various standardized ISDA protocols. Anna also has experience serving as derivatives counsel on mergers and acquisitions (M&A) and capital markets transactions, providing advice and performing due diligence reviews. She has particular experience providing guidance to clients in the energy industry on end-user compliance requirements under U.S. derivatives laws.Anna has an active pro bono practice, which includes assisting various nonprofits with governance issues and providing legal guidance to small businesses. She also serves as a legal advocate to guardians of children with special needs who require assistance navigating the education system. Anna was a member of a pro bono team of lawyers who successfully filed a lawsuit in the Western District of Virginia challenging the constitutionality of a Virginia statute on behalf of a prospective class of plaintiffs.
