I help my clients navigate complexities within the Fortune 500 world with compensation and benefits related matters. I specialize in working with qualified retirement plans and non-qualified deferred compensation plans. I regularly work with clients on operational and regulatory matters under ERISA and the Internal Revenue Code and advise clients in correcting qualification issues under the IRS’ Employee Plans Compliance Resolution System. I also have experience in various compensation matters, including employee benefits, wage and hour, 409A, 162(m), payroll tax, advising employers on the compliance implications from a financial, operational, strategic and compliance perspective of the Affordable Care Act, developing severance and retention programs, reviewing executive compensation arrangements, and focusing on regulatory requirements applicable to such arrangements. I also advise clients on compliance with tax laws related to compensation and benefit plans, including deferred compensation, cash, and annual/long-term equity based incentive plans.Finally, I have a wide array of experience in merger and acquisition due diligence, and 280G “golden parachute” analysis.I am a licensed attorney and a member of the California and Los Angeles Bars. I received my Bachelor’s degree in Business/Economics, a Minor in Accounting, and a Specialization in Computing from the University of California, Los Angeles.
