Head of compliance, ESG and legal, reporting directly to the Board of Directors.Ensuring that the Company complies with outside and internal regulatory requirements and developes and implements best ESG and sustainability plans and standards.Areas of focus include:• Providing prompt, accurate and cost effective advice to Company functions and corporate bodies in the legal, compliance and ESG areas;• Coordinating information (governance management) on legal, compliance and ESG matters;• Managing external legal counsels and advisors to ensure that the internal client\'s needs are met in the most cost-effective way;• Promoting the development and implementation of policies, procedures and guidelines for the Company in the legal, compliance and ESG areas;• Conducting risk assessments that substantiate recommendations in the above areas;• Advising on appropriate actions to support the management decision processes;• Supporting Board of Directors and top management to develop sustainability strategy, and comply with applicable laws, regulations and standards;• Managing legal proceedings taken/threatened by or against the Company;• Information flow to corporate control bodies, BOD, Shareholders’ Meetings;• Implementing the Company internal control system;• Managing the creation and implementation of tools to assist in ensuring compliance with applicable rules, Company policies and procedures and ESG targets;Shared responsibilities:(i) Sustainability and ESG - with direct reporting to BoD, developing the Company ESG plan and coordinating IGS sustainability committee (that includes HSSE manager and administration manager);(ii) Data protection (with IT function)- Ensuring compliance with local and European data protection legislation and relevant policies and ERM model, risk analysis and insurance strategy (in coordination with CEO and finance & control function).
