   Practices law in the area of privacy and data security with a focus on transactional and commercial matters. Works with companies to create new products and services that leverage data. Represents clients in strategic corporate and commercial transactions involving domestic and international data flows and the use, disclosure, and protection of sensitive data. Helps clients structure, draft, and negotiate complex commercial agreements, including sourcing transactions, joint ventures, and alliances. Advises companies in the procurement and protection of data rights and in enabling transactions that involve difficult privacy and security issues. Assists companies in the design and creation of template customer-facing agreements for existing, expanding, or new product lines, including products involving the collection, use and disclosure of sensitive data. Privacy and security practice also focuses on the development and implementation of data protection compliance programs consistent with HITECH and the Health Insurance Portability and Accountability Act (HIPAA) privacy and security rules. Scott counsels companies in responding to data incidents under federal and state laws. Transactional practice also extends to representing technology, internet, health care, life science and financial services companies in venture and strategic financings, mergers and acquisitions and governance matters.
