Works closely with clients through all stages of commercial real estate transactions and development projects, including active involvement in determining business terms and strategic planning. • Negotiates and drafts all related documentation, including letters, of intent, confidentiality agreements, purchase and sale agreements, leases, joint venture agreements, organizational documents, loan documents, legal opinions, letters of credit, and owner, architect, and contractor construction agreements relating to new construction and renovation projects. • Acts as de facto in house counsel for certain clients, and attends to all manner of business-related legal needs, including providing counsel on, negotiating, and finalizing employment, customs, publishing, management, technical service, franchise and license agreements. • Oversees due diligence for large and complex loan, purchase/sale and corporate transactions. • Extensive experience with various corporate matters, including establishing acquisition entities, implementing corporate reorganizations, and acquiring property via stock transactions. • Responsible for engagement and coordination of counsel outside of the United States. • Mentors, oversees, and reviews numerous associates and paralegals. Implemented a “Lunch and Learn” for associates and paralegals which has qualified as continuing legal education. • Member of the Banking, Finance, Major Projects, Environmental and Real Estate Practice Group. • Member of the global Steering Committees for both the Hotel, Resorts & Tourism Practice Group, and the Green Initiative Industry Subgroup. • Editor, Global Hotels, Resorts & Tourism Newsletter for the Hotels, Resorts & Tourism Practice Group. • Chair, Women’s Affinity Group, Chicago Office.
