I counsel employers, boards of trustees of multiemployer plans, and multiple employer welfare arrangements (MEWAs) on all aspects of their health and welfare plans. I help clients navigate the complex web of federal and state laws governing these plans, including the Affordable Care Act (ACA), ERISA, the Internal Revenue Code (IRC), the Public Health Service Act, HIPAA, MHPAEA, the No Surprises Act, and COBRA.My work includes:• Drafting and updating plan and trust documents, amendments, and SPDs• Advising on plan design, funding strategies, and related compliance issues• Addressing administrative, fiduciary, and tax matters, such as benefit claims and appeals, payroll and income tax reporting, prohibited transactions, and nondiscrimination testing• Reviewing and negotiating service provider agreements• Providing fiduciary counseling to plan sponsors and trustees• Advising clients on employee benefit considerations in the context of mergers and acquisitions.I also specialize in advising ERISA plans on negotiating investment management agreements and side letters with private equity and private debt funds.
