As an in-house legal counsel working in mergers and acquisitions (M&A), I play a pivotal role in guiding the company through the intricate process of corporate transactions. My responsibilities involve conducting extensive legal research, analyzing the legal and regulatory implications of potential mergers or acquisitions, and drafting critical documents such as purchase agreements, term sheets, and other transaction-related contracts ensuring that these agreements comply with applicable laws, protect the company\'s interests, and align with business objectives.Providing valuable support to business operations by identifying potential legal risks in everyday business activities.Act as a central point of contact between legal and other departments within the organization, ensuring smooth communication and collaboration throughout the M&A process.Ensure that the process is strategically aligned with the company’s goals, enabling smooth execution and successful integration of business operations post-transaction. Review title deeds, property records, and other legal documents to verify ownership, identify any encumbrances (e.g, mortgages, easements, or restrictions), and ensure the property is free from legal issues that could affect the transaction.Perform property searches, including checking the land registry to confirm ownership and any encumbrances or legal issues related to the property.
