Work on acquisitions and disposals (both share and asset acquisitions and forward fundings) across Europe and primarily in the UK, Sweden, the Netherlands, Germany, Portugal, Spain, Finland, Czech Republic, Romania, Poland and Hungary. • Provide advice across the whole transactions process (from origination to execution), including drafting and providing advice to commercial teams on initial transaction documents (such as offer letters, non-disclosure agreements and terms of business) and the main transaction documents (such as sale contracts, transfers, corporate sale and purchase agreements and forward funding agreements). • Co-ordinate the due diligence process and summarise legal due diligence reports for the internal commercial teams, including advising on the same. • Lead contractual negotiations with external advisers and directly with counterparties. • Project manage the whole transactions process by coordinating and managing both external advisers and internal teams (such as transaction structuring, the movement of funds, board meetings and arranging insurance) during the live transaction phase and post completion. • Assist the general legal team with changes in law, internal restructurings, producing internal guidance and other legal projects.
