I am a former AMLAW 100 commercial and employment litigation partner and an experienced trial lawyer. I have been repeatedly selected by Super Lawyers for Employment Litigation. My six Of Counsel and I handle: • Counseling, drafting, and negotiating on behalf of executives in connection with severance, employment, and related agreements; • Negotiating and, where necessary, litigating business divorces among shareholders of closely held corporations, partners, and members of limited liability companies; • Business litigation cases, particularly in the New York County Commercial Division on whose Advisory Committee I serve as one of fifteen or so judicially appointed trial lawyers with the eight judges of that court; • Employment litigation matters where we have represented an individual or team aligned with the referring law firm’s corporate client involving, among other things, non-compete, trade secret, and fiduciary duty issues; • FINRA arbitrations involving restricted stock units and other compensation-related issues on behalf of managing directors and other finance personnel against their former employers; and • Internal investigations referred to us by a corporation’s outside counsel so that it can reduce the likelihood of a motion to disqualify that firm as litigation counsel and improve the prospects of defeating any such motion.     Notable engagements:• Represented a former senior partner of a prominent consulting firm alleged to have misappropriated trade secrets from his former employer; The matter was resolved on extremely favorable terms for our client.• Represented a former managing director of a preeminent investment bank in a FINRA arbitration involving the Bank\'s termination of \"vested\" restricted stock units on the grounds that the former employee joined a competing entity; The matter was settled on the eve of a four day hearing.• Negotiated the employment agreement for the CEO of Kodak Alaris, a successor to Eastman Kodak, as well as numerous other employment and severance agreements for hedge fund and other financial services personnel as well as others.• Negotiated a non-competition agreement on behalf of a senior former employee of IBM\'s Watson Artificial Intelligence Division. • Helped to save a technology company up to $100 million in a landmark case brought by its former chief operating officer seeking to enforce an option agreement in which the court, after a lengthy trial in which I was co-lead trial counsel, held that the former chief operating officer had breached various fiduciary duties. • Successfully defended a national builder of military housing against multimillion dollar claims arising out of a dispute at West Point and obtained a monetary recovery on a counterclaim.• Obtained numerous favorable decisions from the Southern District of New York and the Second Circuit on behalf of Pfizer Inc. which was seeking to enforce multimillion dollar judgments.• Won a multimillion dollar post-closing arbitration award on behalf of a national paper manufacturing company.• Negotiated a favorable settlement through mediation on behalf of a national real estate mortgage brokerage company in a multimillion dollar federal court lawsuit which resulted in no out-of-pocket payment by the client.
