Corporate Counsellor: Advise business leaders on navigating complex legal issues in corporate and commercial matters.•Commercial Activities: Draft, review and negotiate a wide variety of commercial documents, including (1) Master Services Agreements (together with related statements of work and amendments,(2) non-disclosure agreements, and (3) software license, SaaS and business partnering agreements.•Corporate Activities: Draft, review and negotiate a wide variety of corporate documents with respect to (1) creating and maintaining corporate entities,(2) transactions affecting corporate structure and ownership interest,(3) financings,(4) real property,(5) joint ventures, affiliate and referral relationships, and (6) mergers, acquisitions and investments. •Sales Activities: Support the sales team throughout the contracting life-cycle from sales pitch through agreement execution.•Employee Relations: Counsel Human Resources personnel on a wide range of topics, including (1) resolving personnel matters,(2) maintaining the company’s policies and procedures,(3) employee separations and releases, and (4) complying with various state regulations and requirements. •Legal Shared Services: Obtain buy-in to deploy legal services to various corporate subsidiaries and manage execution of the same.•Privacy and Data Security: Lead privacy, technology and cybersecurity activities in conjunction with various company CIOs. Coordinate with data security team to complete pertinent questionnaires. Coordinate company efforts in response to data security breaches.•Litigation: Manage outside counsel on various litigation matters, including developing the litigation strategy and participating in trials, mediations and settlements activities. •Intellectual Property and Advertising: Manage portfolio of trademarks and advise on names for new product offerings, logos and advertising. Prosecute IP infringements and defend inbound claims regarding the same.
