ABOUT REID POWELL

Reid Powell served primarily as the securities and governance counsel at Vonage Holdings Corp. from May 2018 until January 2025, which included 4 cross-border acquisitions, followed by a public company merger with Ericsson in July 2022. During his tenure at Vonage, he led and controlled all SEC disclosure related items (including proxy statements, periodic reports, current reports, and Section 16 filings). He also managed shareholder activist issues, debt offerings, and credit facilities. Following the acquisition by Ericsson, Reid focused on ethics and compliance matters (including anti-bribery, sanctions, and trade compliance), HR related matters, CFIUS compliance, corporate litigations, and regulatory compliance with the FCC and FTC. Prior to his in-house role, Reid was a senior associate in Weil’s Public Company Advisory practice and based in New York. Reid participated in advising U.S. public companies and foreign private issuers on securities law issues, disclosure, and compliance matters, including M&A and capital markets transactions. Reid was previously a member of Weil\'s Capital Markets practice and worked on a variety of public and private offerings of securities, including initial public offerings, follow-on and secondary offerings and high-yield and investment grade debt offerings.
