   I serve as In-House Counsel to the family of companies including Brainwave Science, Inc, eHeathcare Works, Corp. and Government Works, Inc. I regularly represent my employer in the sale and acquisition of assets and equity. I negotiated agreements and led company legal team in conclusion of due diligence for the sale of Government Works’ Gateway service line (a product which enables real-time eligibility checking against CMS’ enrollment database) to a national health insurance carrier. My role included supporting decision-makers in maintaining regulatory compliance with respect to federal healthcare and privacy laws while minimizing legal and taxation exposure. My work regularly includes drafting and negotiating software as a service (SaaS) and other technology-related agreements, I also regularly negotiate and draft Memorandum of intent/understanding for validation/proof of concept partnerships with international research institutions and government security agencies. I regularly advise regarding general legal matters, draft/revise SOWs, EULAs, NDAs and vendor agreements and provide guidance to decision-makers regarding compliance with HIPAA, ERISA, US Export, SEC, GDPR, CCPA and FLSA regulations. I regularly serve as first-chair trial counsel on behalf of my employer in multi-state and international litigation /arbitration involving intellectual property, trade secret and employment law matters. Representative outcomes include summary dismissal of 12MM claim in complex, multi-party claim before the International Centre for Dispute Resolution as well as permanent state and federal court injunctions relating to trade secret matters. As required, I regularly retain and supervise outside counsel on behalf of my employer.
