I am an experienced corporate attorney representing companies ranging from start-ups to multinationals, as well as institutional and individual investors. My practice spans many industries including software/SaaS, AI, fintech, blockchain/crypto, digital media, e-commerce and healthcare.I am the founder and Managing Partner of the Ellis Law Group. We are a Chambers-recognized corporate practice that includes a strong emerging companies and venture capital practice, as well as intellectual property, employment, and privacy/data security. My primary focus is counseling emerging companies and VC funds. I help entrepreneurs and their companies with corporate formation, angel and VC financing, joint venture and strategic partnering relationships, employment, equity plans, mergers and acquisitions and more. In collaboration with my colleagues, we advise these same clients on protecting and licensing intellectual property.I have significant experience advising on M&A deals across numerous industries. Handling deals of all types and sizes, I work on smaller transactions in the software/internet space all the way up to major transactions involving companies in the fintech, entertainment and consumer products industries.Given my background, I am often invited to speak on legal issues for organizations such as the New York Academy of Sciences, Columbia University, the MIT Enterprise Forum, the National Science Foundation, the New York Software Industry Association, the New York Technology Council and NY Tech Alliance. With a deep interest in the exciting pace of the technology sector, I co-founded the New York Technology Council (NYTECH), which subsequently merged with NY Tech Meetup to become the member NY Tech Alliance, an organization dedicated to promoting and supporting the technology industry. I currently sit on the board of NY Tech Alliance and lead a bi-monthly panel for the organization on the legal issues facing technology companies. Areas of focus: • Corporate Law • Financing for Startups and Emerging Growth Companies• Venture Capital • Mergers and Acquisitions• Securities Law

Managing Partner

My firm combines best-in-class, large-firm expertise and reach with personalized attention and boutique–firm efficiencies to provide results delivered with unparalleled value. My team is made up of highly motivated individuals who come from the nation’s finest universities and law schools and are trained in major law firms. With the highest standards for providing excellent legal advice, we strive to implement the most efficient means to satisfy business objectives. Our clients find us to be a great alternative to large firms and enjoy the benefit of enduring relationships that provide important context for achieving business goals effectively and efficiently.I was once described as the consummate “businessman’s lawyer.” I think that is because I appreciate the challenges my clients face in their businesses, legal risks being just one of those concerns. With this as the backdrop, I am deeply motivated to help clients identify and assess their legal concerns and then address those issues using creative, practical solutions.
