A National Association of Corporate Directors Leadership Fellow, Private Directors Association Founding Board Member, and independent board member with extensive experience in board leadership in ten public, private equity (PE) and non-profit boards spanning over 25 years, as well as prior chairman and CEO of internal HSBC PLC company boards. Has served on the boards of public and private companies (Chair, Compensation, Audit/Risk and Nominating and Governance Committee member) as well as three non-profits. Has significant knowledge of ESG processes and methodology to enhance board governance. Helped lead the successful transformation of PE led Franchise Group Inc.(FRG) as Chairman of the Special Committee and member of the Transaction Committee (only non-PE member), helping take the company from $.2B to $5B+ in revenues and market cap from $.2M to $2B+. Fulfills all NASDAQ audit committee requirements. Led the replacement and transformation of the entire leadership team of Liberty Tax, the predecessor company. Similar results were achieved with a second PE private company board. Works exceedingly well with all company and board stakeholders. Expert in crafting a long-term strategy for turn around scenarios necessary to translate that vision into execution, by working with the CEO and board to align great people, technology, and opportunity at the board level. Led global businesses for 20 years at HSBC, 7th largest bank in the world (market cap $225B) as North American subsidiary business Group Executive and Chairman, CEO, COO, CFO and President, as an impactful and dynamic global leader with year after year success achieving or beating profit objectives while balancing risk, compliance and board governance requirements within turnaround, new and continuing business environments.
