ABOUT PATRICIA KOVAL

As a corporate director, I benefit from many years of experience working with companies on corporate finance, M&A, governance, and shareholder activism. I am a skilled communicator and strategic thinker with expertise and Board experience in strategic planning, capital markets, financial oversight, risk management, CEO recruitment, executive compensation, management transition, ESG, reconciliation and complex governance challenges. I have chaired boards and served on and chaired audit, risk, ESG and governance committees. In my legal career, I worked extensively with REITs, banks, insurance companies, investment funds, and public companies in the infrastructure, mining, carbon finance and consumer retailing sectors. My current corporate directorships include Trans Mountain Corporation and construction, seniors retirement living and property management operating companies in the Tridel Group. I am the Lead Director of Trans Mountain\'s Board and serve on all of its committees. I chair its Human Resources, Compensation, Nominating and Governance Committee. I was privileged to serve as former Chair of the Independent Electricity System Operator Ontario and as an appointed member of Ontario\'s Advisory Panel on Climate Change. Most recently, in June, 2025, I completed my tenure as chair of CPA Canada\'s Canadian Performance Reporting Board and my tenure as a director and the Chair of the Governance Committee of U.S-based Rainforest Trust (a large American non-profit corporation).I was an Adjunct Professor at University of Toronto for over 15 years, where I taught courses on mergers and acquisitions as well as special programmes on climate change-related matters. I continue to speak at events focused on ESG and Board oversight of climate change and biodiversity, and have moderated a number of events on these topics for the Institute of Corporate Directors.I have also been privileged to serve, and continue to serve, including as Board chair, on a significant number of Boards and committees of non-profit organizations in Canada and the United States, including charities. I am also the President and Chair of a private foundation dedicated to philanthropy.
