COMPANY LAWYER (Syndikusrechtsanwalt): Responsible for all legal issues concerning fund structuring, fund raising and regulatory within DLE Group AG, its subsidiaries and their initiated investment funds. Amongst others:* Structuring of German and Luxembourgian investment funds;* Drafting and negotiation of agreements required for the structured investment funds as well as their underlying SPVs (e.g. AIFM Agreement, Depositary Agreement, Administration Agreement, Investment Advisory Agreements, Placement Agreements);* Working on the fund documentation for the structured investment funds (e.g. Offering Memorandum, Fund Rules, Articles of Association, Limited Partnership Agreements);* Dealing with investor requests including the negotiation of Side Letters;* Leading on regulatory issues concerning fund distribution (both from a licensing and product perspective in particular in Germany, Luxembourg and Switzerland);* Presenting and reporting to the Senior Management and General Counsel.ATTORNEY-AT-LAW (Rechtsanwalt):I am a German regulatory and investment law expert and advise asset managers and financial services institutions on all regulatory and investment law matters (in particular, AIFMD, UCITSD, MiFID, MiFIR, Solvency 2, ESG, etc).For instance:* Establishment of licensed entities in Germany (AIFM and MiFID entities), cross-border licenses, registration of EU branches;* Establishment and distribution of open-end and closed-end funds, as well as ETFs;* Outsourcing transactions, in particular re Master-KVG structures,* German or international M&A transactions;* Compliance issues;* Private equity and hedge fund regulation.
