We\'re getting and keeping wonderfully flexible limited liability companies organizationally sound. That form of entity provides opportunities for surprises, because LLC\'s behave differently from corporations. Noel is presenting at an NBI Program in July on various aspects of LLC operating agreements under New Jersey\'s limited liability company law and recent judicial decisions on LLC owners\' liabilities. Members and shareholders, as well as employees, come and go from closely held businesses. Disentangling organization ownership requires conscious effort. Private equity investors joining forces, departing employees selling shares.Such situations call for responsibility spelled out articulately. LLC members can use more imagination in structuring their relationships from the outset to alleviate trouble when situations don\'t work out. Congress has now changed the corporate transparency rules for LLCs and corporations; those rules go into effect January 1, 2024. Now is a good time to complete agreements with partners and fellow shareholders. Noel\'s articles about a recent NJ Supreme Court decision and about arguments to make when seeking a court order to dissolve an LLC appeared in recent New Jersey Bar publications. Noel attended the ABA\'s annual Limited Liability Company Institute in Denver in June 2023. Noel also discussed LLC operating agreements at in person and online NBI programs in New Jersey including two in June 2023. CLE provider NBI recently awarded Noel for 2022 an Outstanding Faculty award.
