About Nicholas Livers

The focus of my practice is mergers and acquisitions, business planning, taxation, real estate, estate planning, and probate and trust administration. Prior to beginning representation of a new client, I attempt to learn and understand the priorities, concerns and goals of each client. My work for the client will be driven by those priorities, goals and concerns that the client expresses to me. I can provide all services need throughout the life of a business from cradle to grave (formation through dissolution). I assist business owners and entrepreneurs by organizing and forming their company, drafting any type of contract that the business may need (such as employment contracts, service contracts, lease agreements, manufacturing agreements, distribution agreements, franchise agreements, etc.), working with the company\'s accountant in tax planning, establishing retirement plans for the company, planning for succession of ownership, assisting with the purchase or sale of a business (from negotiating the contract through the closing), providing representation for a merger with or acquisition of another company, and representing owners of the company in the dissolution of a company. With respect to real estate, I have helped clients buy and sell residential and commercial real estate, subdivide and develop real estate, develop and establish condominiums and other types of horizontal property; prepare lease agreements, and assist with tax free exchanges of real estate. I also help clients with their estate planning and probate and trust administration needs. These services range from the preparation of simple Wills and Powers of Attorney to tax planning for high net worth individuals. My goal is to know and understand the client and his or her family and to tailor their estate planning documents to address the concerns of the family.
