   I am a finance lawyer with a practice centered on lending transactions, complemented by experience in corporate matters such as mergers and acquisitions, entity formation and governance, and general contracting. While the majority of my work today is focused on finance, I continue to serve as a strategic resource for clients with broader corporate needs, supported by a strong internal team. In my finance practice, I advise regional and national banks, private equity firms, and borrowers on a wide range of credit facilities, with a particular emphasis on transactions secured by oil and gas assets. I have deep experience drafting and negotiating credit agreements, intercreditor agreements (including both first lien/second lien structures and pari passu lien arrangements with hedge providers), subordination agreements, guaranties, mortgages, and related security documents. I also regularly counsel clients on perfection issues, hedging strategies, usury compliance, and the challenges associated with distressed loans and workouts.While my practice is now primarily finance-focused, I remain actively involved in coordinating corporate transactions—from M&A and private placements to governance and day-to-day commercial contracting—ensuring clients have access to responsive, knowledgeable counsel across the business lifecycle.Please see my firm webpage for a list of representative transactions:
