ABOUT MIKHAIL KLEPTSOV

My areas of professional expertise include advising- issuers and underwriters on cross-border debt and equity securities offerings- lenders and borrowers on debt financing transactions, including acquisition finance and asset finance; and- corporate clients on a variety of complex legal issues, including reverse takeovers, corporate governance and regulatory matters.I advise Russian and FSU clients, as well as multinational corporations and investment banks on their dealings in these regions. Key industry sectors include infrastructure, financial services, retail and telecoms.The key area of my professional interest is capital markets. Relevant experience includes- drafting international offering documents \"from scratch\"- conducting due diligence investigations and managing a team of lawyers involved in legal due diligence- managing the drafting sessions and getting the disclosure document agreed among the issuer, syndicate, accountants and legal counsel- liaising with the UK FCA and the London Stock Exchange in connection with the offering documents- reviewing marketing materials, including presentations and research reports; and- advising on a variety of related matters, including publicity, corporate governance, signing and closing. In addition to capital markets, I have experience in a variety of banking and finance transactions.Being a native Russian speaker, I am fluent in English. I am qualified as a lawyer in the Russian Federation and admitted as attorney and counselor-at-law in the State of New York.
