I am responsible for managing a broad corporate portfolio spanning core corporate responsibilities as well as real estate, variable compensation plans, insurance and risk, litigation, and foundation-related matters. More specifically, my responsibilities include the following: Advance the legal aspects of public company readiness covering review of corporate governance structure such as dual class and board and committee matters, development of policies such as Reg FD compliance and disclosure committees, guidance on mock earnings releases, non-GAAP KPIs, executive compensation, and material events, among myriad other workstreams. Lead and support M&A and strategic transactions from end-to-end and post-closing. Lead and support equity and debt financing transactions from end-to-end and post-closing. Own securities matters spanning cap table management and stock administration, stock transfers and repurchases, secondary transactions, investor relations, and securities law compliance. Advise on corporate governance including governance documents, corporate policies and best practices, and Board, committee, and stockholder matters. Counsel on certain employment and equity matters, which include our equity incentive plan and equity grant agreements, 409a valuation, executive compensation, and variable compensation plans. Manage general corporate matters covering global subsidiary management, intercompany agreements, tax & accounting, and financial audit. Negotiate commercial agreements ranging from customer agreements and vendor agreements to leases. Manage risk programs including insurance and the development and launch of a cross-functional enterprise risk management program. Lead the legal aspects tied to Checkr\'s mission ranging from structuring of the 1% equity pledge to charitable giving through Checkr\'s private foundation. Systematize processes using cutting-edge legal tech and tools to operate and scale more efficiently and effectively.
