Act as primary legal counsel to the company on all matters related to ERISA; company-sponsored qualified and non-qualified retirement plans, multiemployer pension plans, health and welfare benefit plans, and executive compensation mattersInstruct the HR department on all matters related to COBRA and HIPAA Privacy and Security RulesDraft and negotiate multi-million dollar service provider contracts, insurance policies, business associate agreements, non-disclosure agreements, severance agreements, and settlement agreementsDraft and review Plan Documents, Summary Plan Descriptions, and other mandated plan documentation, as well as internal and external plan communicationsFacilitate pre-litigation dispute resolution, perform risk analysis, and manage outside counsel on litigious claims and other matters requiring external legal services and expertiseCounsel labor negotiators on employee benefit-related legal issues in the collective bargaining process, including providing advice to help mitigate the risk of contributing to or withdrawing from multiemployer pension plansAdvise senior executives on their legal duties and obligations as fiduciaries to the plansAnalyze and assess the risks of pursuing certain corporate strategies involving changes to employee benefits and compensation, including performing due diligence on M&A transactionsTrack new and ongoing state and federal legislation and regulatory rulemaking to ensure that company-sponsored employee benefit plans and executive compensation policies are compliant
