Lamb Law, LLC is a Pittsburgh-based legal practice specializing in outside general corporate counsel and mergers and acquisitions for small and medium-sized private businesses.I am in my second decade providing corporate and transactional legal counsel to clients primarily in Pittsburgh, PA. I am fortunate to work with many small business owners and enjoy helping these local champions grow and nurture their businesses.I manage due diligence, regulatory compliance, drafting, and negotiation of numerous buy and sell side transactions in lower and lower-middle market deals spanning multiple industries. I advise owners and directors on corporate governance matters, corporate tax planning, regulatory compliance, and succession planning. Also private securities offerings and corporate finance options, including commercial and private financing. I negotiate and advise on employment contracts, independent contractor agreements, restrictive covenant agreements, equity incentive plans, employee handbooks, and employer policies. I help to guide clients on the employee termination process including appropriate severance and release agreements, along with handling human resources complaint investigation and administrative charges. In commercial real estate, I handle purchase/sale transactions and lease negotiations, including advice on site diligence, land use, insurance, buildout, building management, and dispute resolution.
