As Assistant Secretary of the Corporation: advise the Corporation on governance matters, securities laws and regulations including compliance with the Securities Act of 1933, the Exchange Act of 1934 and New York Stock Exchange rules; draft and review corporate filings with the Securities and Exchange Commission including Forms 14DEF (proxy statements), 10-K, 10-Q, 8-K, and SEC correspondence; secretary of the Finance and Audit Committees of the Board of Directors; assist with executive compensation matters, disclosures and filings; advise on Reg FD matters and consult on investor relations and proxy advisor interactions; monitor ratings and reviews by proxy advisors and other corporate governance and ESG ratings for impact on corporate governance practices and disclosures; advise and implement ESG and sustainability disclosures and best practices; establish and draft committee charters, internal policies and best practices; global subsidiary establishment, management and corporate governance. • As Senior Counsel, Securities and Finance: manage all public and private capital markets transactions; negotiate and draft internal and external credit agreements (including $1.5 syndicated revolver) and financing documents (including internal financings); negotiate and draft share repurchase agreement documents, including 10b5-1/10b-18 programs and accelerated share repurchases; establish and monitor commercial paper program; negotiate and draft guarantees, letters of credit, and other credit support documents; negotiate ISDA Master Agreement schedules and confirmations (+15 banks); draft and negotiate bilateral hedging arrangements; advise on commodity purchases; advise on venture capital investments, acquisitions and equity investment structures and agreements; advise and support real estate leasing, sale and purchase; provide general corporate business transactional advice in a wide variety of general corporate matters.
