Work as part of a cross-functional team on a variety of securities, corporate governance, and corporate transactional matters. Review and prepare public disclosures and SEC filings. Advise and provide governance support to the board of directors and its audit, compensation, nominating and corporate governance, and privacy, security, and technology committees. Ensure corporate compliance with Regulation FD, and various other securities regulations and related policies. Advise business teams on public disclosures, external communications, and other public company obligations, and best practices, including implications of changes to SEC and stock exchange rules. Collaborate with investor relations and corporate communications teams on press releases, investor presentations, and investor engagement efforts, including in ESG areas. Advise cross-functional equity team on executive compensation and equity related matters, including review of grant agreements and board approvals. Prepare meeting materials, minutes and other items for board and committees and attend all meetings. Support corporate development team in planning and execution of M&A and financing transactions. Support global expansion efforts, including in areas of corporate formation, corporate governance and maintenance, and compliance.
