   Megan is a partner in the firm’s Corporate & Securities Practice Group, counseling clients on a wide range of corporate and business matters, including mergers and acquisitions, compliance with federal securities rules and regulations, general business matters, and private securities offerings. Megan has significant experience advising public and private companies in structuring, negotiating and drafting merger agreements, stock purchase agreements, asset purchase agreements, joint ventures and other business transactions. She leads and supervises the legal due diligence investigation and analysis for both buyers and sellers in a variety of industries. Megan also advises public companies on corporate governance matters under NYSE and NASDAQ listing standards, and compliance with state and federal securities laws, including 1934 Act reporting and Sarbanes-Oxley compliance. She also assists clients in securities offerings and has experience preparing private placement memoranda, securities agreements, shareholder agreements, investor rights agreements, and other offering materials. She has helped several local startup companies in the entity formation and capital raising stages and beyond as they continue to develop and grow their businesses. Megan also has experience in the area of commercial leasing, as well as other real estate matters.
