As a member of the employment practice group at CAM, I primarily assist clients in labour and employment matters (contentious and non-contentious). I also assist in structuring and setting up of share-based and non-share based / cash-linked incentive plans, including ESOPs, RSUs, phantom stocks, upside sharing policies, etc from legal perspective, factoring in commercial considerations. I also regularly assist and advise clients in structuring treatment of share-based benefits in reverse flip matters (inbound mergers); alignment of incentive plans/policies with legal stipulations; proxy firms’ views / assessment on ESOP terms (corporate governance aspects); and on their queries concerning corporate actions and adjustment in terms of incentive plans, etc.
