About Matthew Geduldig

I am a Partner in the Corporate Department and member of the Private Investment Funds Group. Working with private investment fund managers, I advise on the various stages of private equity fund formations, including capital raising, marketing, preparing offering documents, drafting organizational documents and counseling clients on regulatory, compliance and operational issues both during an active fund raise and during the operational stage, including sponsor-ownership issues. I work with a variety of fund sponsors, including large, diversified asset managers as well as emerging managers. I also advise clients on investor-side diligence and negotiations. I am a member of the Firm’s Hiring Committee, am an alum of the Leadership Council on Legal Diversity Pathfinder Program and am co-head of the Firm’s Asian Lawyers Affinity Group. Before joining Proskauer, I was a Fulbright grantee in Daegu, South Korea. I taught English and earned the U.S. State Department’s Critical Language Enhancement Award for Korean-language study. I earned my J.D. and M.B.A. from Boston College Law School and the Boston College Carroll School of Management.
