Oversee Legal and Compliance for Geode Capital Management, a global asset manager providing investment exposure across equity index, commodities and options asset classes. Advise on all legal activities and governance of Geode’s registered investment advisers (RIAs) and the registered and private funds and accounts they advise, as well as Geodes\' state chartered trust company and the suite of collective investment trust (CIT) pools it manages. Responsibilities include:• Advise on global regulatory developments and compliance with Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC and NFA regulations and state banking rules;• Monitor global regulatory developments and counsel on compliance with all applicable laws across business lines;• Active member of senior management team, developing and implementing strategic plan and business initiatives;• Serve as primary legal adviser to Boards of Directors and Audit Committees and participate in Operations, Risk Management and ESG Committees;• Manage legal and compliance teams, outside counsel and legal resources;• Create and maintain investment funds and accounts, including registered funds and hedge funds;• Oversee negotiation of ISDAs, trading agreements, vendor agreements and licenses;• Manage responses to regulatory examinations and inquiries; and• Advise on potential litigation matters, real estate, IP and employment, benefits and HR-related issues.
