About Maryann Bruce
Since my first corporate board role in 2010, I have served on over a dozen boards, contributing to Audit, Compensation, and Nominating & Governance Committees, and holding leadership roles at companies of various sizes and complexities.I currently serve as an independent director at Amalgamated Financial Corporation and Amalgamated Bank (Nasdaq: AMAL), where I chair the Enterprise Risk Oversight Committee (EROC) and am a member of the Executive & Corporate Social Responsibility (CSR), Audit, and Credit Committees. These roles have enabled me to explore the critical connection between ESG issues and the Bank’s strategy, ensuring alignment with its mission and vision. I am also an independent director of ASA Gold & Precious Metals Fund (NYSE: ASA), where I chair the Nominating & Governance Committee and serve on the Audit Committee.Previously, as a leader of major global financial services organizations, I played a pivotal role in developing market-leading strategies and successfully executing and integrating multiple joint ventures and mergers and acquisitions. As President of Evergreen Investments Services, I led the retail and high-net-worth business lines, generating $317 million in annual revenue. My expertise includes strategy, sales, business development, relationship management, marketing and brand management, product development, risk management, compliance, and client engagement. With a proven track record of starting, building, and scaling high-growth businesses and a deep understanding of financial markets, I bring a unique and valuable perspective to companies navigating growth, transformation, or disruption.I also provide trusted guidance as a board member and advisor, having earned the CERT Certificate in Cybersecurity Oversight from the NACD and Carnegie Mellon’s Software Engineering Institute, which equips me with advanced knowledge of board and management responsibilities in overseeing cyber risks. In recognition of my leadership and industry influence, Directors & Boards named me one of 20 accomplished female board members to watch, and US Banker recognized me as one of The 25 Most Powerful Women in Banking for business vision, personal excellence, and professional integrity.
Experience
Independent Director, Risk Chair, Member Executive & Csr and Audit Committees (Nasdaq Amal)
Aug 2018 — Present · New York, NY, US
I serve as the Enterprise Risk Oversight Committee (EROC) Chair, which oversees the Bank’s risk management framework and policies and practices related to identifying, monitoring, controlling, and mitigating our principal business risks. These include compliance and legal, credit, liquidity, market, operational and technology, reputational, and strategic and competitive. EROC is also responsible for establishing a risk appetite and tolerance level for these seven key risks. My active involvement as a member of the Executive and Corporate Social Responsibility (CSR) committee is a testament to our commitment. In this role, we diligently review our monthly financial and non-financial results, attend to other matters requiring attention, and assist the full board in fulfilling its oversight responsibilities. Our focus is on the Bank’s development and implementation of our corporate social responsibility policies and diversity, equity, and inclusion efforts. As a Public Benefit Corporation and B-Corp certified, we believe a separate CSR committee is crucial. It underscores our commitment to being America’s socially responsible bank, empowering organizations and individuals to advance positive social change. I also serve on the Audit Committee (AC), where I was instrumental in interviewing and selecting several Chief Audit Executives and conducting extensive RFP processes to select the Bank’s internal audit co-source partner and external audit partner. Previously, I was an ad hoc CEO search committee member to help identify and recruit a new CEO.
