ABOUT MARTIN GRIFFITHS

I have over 15 years of experience of providing tax advice to leading businesses in London and the North. Most of my work revolves around corporate transactions (particularly private equity), both managing tax risks for sellers and purchasers, but also helping clients arrive at the correct structure for the transaction and prepare targets for sale.I\'m always conscious that tax is rarely straightforward and I passionately believe that my most important role is to help my clients understand the relevant tax issues so that they can be put into practice. For that reason my commitment is to provide clear, concise and understandable advice. I firmly believe that if an advisor cannot explain the position to their clients in a way that they understand, there is a fair chance the advisor doesn\'t understand the position themselves!Aside from purely tax transactional matters, I also have a wide range of other areas of expertise, including:* providing advice to seller and management teams on the tax consequences of realising shareholdings in their businesses and potentially reinvesting into new structures;* advising on the structure of family owned and growth businesses, whether it be with a view to prepare for sale, pass value to the next generation or seek investment;* designing, implementing and advising on employee share incentive structures, however big or small;* tax on UK real estate, both in terms of structuring inbound investment into UK real estate, as well as domestic landlord and tenant issues, VAT and SDLT matters;* advising on employment taxes, ranging from termination arrangements, benefits packages, IR35, to cross-border assignments.I work with a range of clients, from various private equity houses throughout the country and internationally, to domestic and multi-national UK businesses. I have designed, put in place and managed share schemes for main market and AIM listed clients, as well as smaller and growth private companies.Recent deal highlights have included:* Acting for management in the Archus group and providing tax advice on the investment into Archus by BGF.* Advising Portakabin on their acquisition of the Darwin Group.* Advising AIM listed forex company, Alpha FX Group Plc on their management equity incentive programme.* Acting for the Sellers of the holding company of the Pirtek group to Franchise Brands Plc.Outside of work, as a father of two boys, my triathlon career appears well behind me, but I still try to get on my bike and enjoy a game of tennis when I can.
