Primary responsibilities include providing legal analysis for investment committees, underwriters, originators, and portfolio managers for investments in leveraged loans, high-yield bonds, private equity, and investment funds, as well as negotiating and documenting direct debt financing transactions. Experience is focused on loan and indenture documentation, transaction structures, subordination and intercreditor matters, issues under the UCC and bankruptcy laws, debt workouts and restructurings, and investment fund documentation and structures. Transactions primarily involve corporate debt financing for leveraged acquisitions, as well as venture debt and energy loans, and include senior, second lien, and mezzanine loans, both in direct lending and broadly syndicated transactions.
